Welcome to Chorki, a subscription-based service that allows users to access movies, series, shows, television fictions, music videos, and other audio-visual content (“Chorki content”) streamed over the Internet to certain internet-connected TVs, computers, and other devices ("Chorki ready devices"). The service is provided by MEDIASTAR LIMITED, a registered company incorporated under the laws of Bangladesh (hereinafter referred to as “Chorki”).

These Terms of Use govern your use of our service. "Chorki service", "our service", or "the service" means all the services provided by Chorki for discovering and watching Chorki content, including all features and functionalities, recommendations and reviews, the website and user interfaces, as well as all content and software associated with our service.

The following terms (‘Terms’) governs your access and use of (www.chorki.com) and/or the mobile application for all the Android and iOS Devices and/or Internet-connected TVs, computers and other devices accessing the Chorki services (collectively ‘Services’).

ACCEPTANCE

By accessing and using our Services, you hereby agree to and accept the Terms in full. If you disagree or do not accept any of the Terms, you must not use our Services.

We reserve the right to restrict access to areas of our Website or Service at any time and for any reason or no reason, or indeed our whole website, at our sole discretion; you must not circumvent or bypass, or attempt to circumvent or bypass, any access restriction measures on our Website or Service.

Restrictions of Usage: You may not use our Website and App in any way that causes damage or impairs the performance, availability, or accessibility of the Website and App. You may not use our Website and App in any unlawful, illegal, fraudulent, or harmful manner or for any unlawful, illegal, fraudulent, or harmful purpose or activity. You must ensure that all the information you supply to us through our Website and App, or in relation to our Website and App, is true, accurate, current, complete, clear and non-misleading.

You agree that Chorki will not be liable to you or to any third party for any modification, suspension, or discontinuance of the service.

MEMBERSHIP, SUBSCRIPTIONS, AND BILLING

Membership: Your Chorki membership will continue and automatically renew until terminated. To use the Chorki service, you must have internet access, a Chorki ready device, and provide one or more Payment Methods, which you may update from time to time in the Settings option. To become a member of the Chorki service, you must be at least 18 years of age or have reached the age of majority in your province, territory, or country. Minors are permitted to use the service only under the supervision of a responsible adult.

Transactional Video on Demand (TVOD): In addition to its traditional subscription-based services, Chorki may provide selected content on a Transactional Video on Demand (TVOD) basis. This shall allow the users to rent or purchase individual movies, series, or special events for a one-time fee. In the event, that you purchase a specified TVOD content, you agree that access to the specified content is limited for a certain period of time only, and further agree that you are not entitled to the full Chorki library or other subscription-based content available on this OTT platform.

When you purchase TVOD content from Chorki, you are granted a limited, non-exclusive, and non-transferable license to view the specified content solely for personal, non-commercial use. TVOD content can only be accessed through the account used for purchase and on compatible Chorki-ready devices linked to that account. Access is limited to a specified period, typically expiring after [e.g., 7/30 days from first playback], unless otherwise stated during the transaction process. Each purchase requires a separate payment, with applicable taxes and fees disclosed at the time of the transaction. All TVOD purchases are final and non-refundable, except in cases of technical issues or accidental purchases, as determined on a case-by-case basis by CHORKI.

TVOD availability is subject to geographic licensing restrictions and device limitations (e.g., accessible on 1 to 4 devices). Purchasing TVOD content does not confer permanent ownership or transfer rights, and sharing or redistribution outside your registered account is strictly prohibited. Chorki reserves the right to modify or remove content, and access is contingent on its operational capacity and licensing rights. Unauthorized sharing, fraudulent activity, or violations of these terms may result in account suspension and legal action. Users are responsible for maintaining a stable internet connection and using compatible devices. By continuing to use TVOD services, you agree to any updated Terms of Chorki Service may implement.

Ad-supported Subscription Plan and In Content Commercial: Chorki Platform or Content(s) may include third-party advertisements and links to external sites. Chorki disclaims any responsibility for the content or services advertised or available on these third-party sites. Chorki does not endorse or sponsor such content, and any interactions with advertisers are solely between you and the advertiser. Chorki is not liable for any claims or losses related to these third-party products or services. Links to third-party websites or services are governed by their own terms and privacy policies. Chorki does not control or endorse these external sites and is not responsible for their content or practices. Chorki's liability does not extend to any external sites, even if linked to Chorki’s own platform.

Free Plan: Your Chorki subscription may start with a free trial through a special subscription plan selection. The free trial period of your subscription will last as specified in the subscription plan when you have selected, or as otherwise specified during sign-up and is intended to allow new users to try the Service.

Free trial eligibility is determined by Chorki at its sole discretion, and we may limit eligibility to prevent free trial abuse at any point of time. We reserve the right to revoke the free trial and put your account on hold in the event that we determine that you are not eligible. Free trial can be taken only once with a specific account. We may use information such as geolocation, device ID, method of payment or an account email address used with an existing or recent Chorki subscription to determine eligibility. For combinations with other offers, restrictions may apply.

We will not charge your Payment Method for your monthly subscription fee at the end of the free trial period unless you renew or upgrade your subscription prior to the end of the free trial period. To view other Plans and the end date of your free trial period, visit your Chorki Profile page.

We may offer specific contents for free which You can access without any registration or subscription. At any time, we can restrict Your access to any free content and add the content in a subscription plan.

Promotional Offers: From time to time, we may provide special promotional offers, plans, or memberships (collectively referred to as “Offers”). Eligibility for these Offers is determined solely at the discretion of Chorki, and we reserve the right to revoke any Offer or place your account on hold if we determine that you do not meet the eligibility criteria. Households with an active or recent Chorki membership may not qualify for certain introductory Offers. We may assess factors such as device ID, payment method, or email address associated with an active or recent Chorki account to determine eligibility. Any specific eligibility requirements, limitations, or conditions will be disclosed at the time of your sign-up or communicated through other available means.

Subscription Plans: You can find details about your subscription on our website or app by clicking "Subscribe Now/View plans" or accessing the menu on the mobile app.

Billing Cycle: The subscription fee for the Chorki service and any other charges you may incur in connection with your use of the service, such as taxes and possible transaction fees, will be charged on a periodic basis to your Payment Method on the calendar day corresponding to the commencement of the paying portion of your subscription if auto renewal is activated, or at the instant the subscription plan is activated. In some cases, your payment date may change, for example if your Payment Method has not successfully settled or if your paid subscription began on a day not contained in a given month. Visit your Chorki “Settings” option to see your next payment date.

Payment Methods: To access and use the Chorki service, you are required to provide one or more valid Payment Methods. By doing so, you authorize us to charge any Payment Method linked to your account in the event that your primary Payment Method is declined or otherwise unavailable for processing your subscription fee. You remain liable for any unpaid amounts. Should a payment fail due to expiration, insufficient funds, or any other reason, and you do not cancel your account, we may suspend your access to the service until we have successfully charged through a valid Payment Method. Additionally, certain Payment Methods may incur fees, such as foreign transaction fees or other processing charges, imposed by the payment provider. Local tax rates may also vary based on the Payment Method used.

Updating Payment Methods: When you update your Payment Method, you authorize us to continue charging the updated Payment Method and you remain responsible for any uncollected amounts. This may result in a change to your payment dates. For some Payment Methods, the issuer or payment aggregator may charge you certain fees, such as foreign transaction fees or other fees relating to the processing of your Payment Method. Local tax charges may vary depending on the Payment Method used. Check with your Payment Method service provider for details. In any event, we shall not be held liable for any applicable taxes upon the purchase / use of the Services.

Cancellation: You may cancel your Chorki membership at any time, and you will retain access to the Chorki service until the conclusion of your current billing period. To the extent permitted by applicable law, all payments are non-refundable, and we do not issue refunds or credits for partial membership periods or unused content. To cancel your membership, navigate to the "Account" page and follow the cancellation instructions provided. Upon cancellation, your account will automatically close at the end of the current billing period. You can view the exact closure date by selecting "Billing details" on the "Account" page. If you subscribed to Chorki through a third party using their payment services, you may need to cancel directly through that third party, such as by accessing your account with them and disabling auto-renewal or unsubscribing from the Chorki service via their platform.

Changes to the Price and Subscription Plans: We reserve the right to modify our subscription plans and adjust the pricing of our services periodically. In the event of any such changes, we will provide you with at least one month's prior notice before the new pricing or subscription plan changes take effect. If you do not agree to the revised pricing or subscription plan, you have the option to cancel your membership before the changes become effective.

Refund Policy: Subject to applicable law, all payments made for our services are final and non-refundable. We do not provide refunds or credits for partial use of the service, change of mind, or for any unused or unwatched content on Chorki. Refunds will only be considered in cases of duplicate transactions or erroneous charges, and are contingent upon the submission of relevant supporting documentation. Upon verification of the claim, any approved refund will be processed within 10 to 15 business days and credited to the original method of payment. CHORKI SERVICE

Personal Use: The Chorki service and any content accessed through our service are for your personal and non-commercial use only. During your Chorki subscription, we grant you a limited, non-exclusive, non-transferable right to access the Chorki service and Chorki content through the service. Except for the foregoing, no right, title, or interest shall be transferred to you.

Geographic Limitations: You may access Chorki content primarily within the country where you have purchased your subscription, regardless of the location of your account registration, and only in geographic locations where we offer our service and have licensed such content. The content available may vary by geographic location and is subject to change from time to time.

Service Changes: Chorki regularly updates the service, including the content library. We continually test and change various aspects of our service, including our website, user interfaces, and promotional features.

Usage Restrictions: You agree to use the Chorki service in accordance with all applicable laws, rules, and regulations. You agree not to archive, reproduce, distribute, modify, display, perform, publish, license, create derivative works from, offer for sale, or use content and information contained on or obtained from or through the Chorki service except as explicitly authorized in these Terms of Use.

Device Compatibility and Performance Disclaimer: Chorki is committed to providing an optimal streaming experience across a wide range of devices, including web browsers, Android mobile devices, Android TV, iOS mobile devices, and Samsung TV (Tizen). However, due to the inherent diversity in device specifications, operating systems, hardware configurations, and the policies of device manufacturers, Chorki cannot warrant flawless performance or compatibility on all available devices.

By accessing and utilizing Chorki’s services, you hereby acknowledge and agree to the following terms:

1. Device-Specific Variations: The functionality, performance, and compatibility of the Chorki application may vary based on the specific hardware, software, system configuration, and usage policies of your device. Chorki makes no representations or guarantees regarding the consistent performance or availability of its services across all devices.

2. Limitation of Liability: Chorki shall not be held responsible or liable for any inconvenience, interruption, or inability to access content arising from device-specific issues, incompatibilities, or external factors, including but not limited to operating system updates or changes to device manufacturer policies.

3. Responsibility for Device Compatibility: It is your sole responsibility to ensure that your device meets the minimum system requirements necessary for the proper functioning of the Chorki application. Chorki makes no representations regarding the suitability of any particular device for use with its services.

This Device Compatibility and Performance Disclaimer forms an integral part of Chorki’s Terms of Use, and by continuing to use our services, you agree to be bound by its provisions.

Moreover, The quality of the display of the Chorki content may vary from device to device and may be affected by factors such as your location, the bandwidth available, and the speed of your internet connection. You are responsible for all internet access charges. The number of devices on which you may simultaneously watch depends on your chosen subscription plan and is specified on the "Account/Subscription" page.

Software: The Chorki software is developed by or for Chorki and may vary by device and medium. By using our service, you agree to receive, without further notice or prompting, updated versions of the Chorki and related third-party software.

Third-Party Applications: Chorki may offer services or products provided by third parties, including applications, websites, and advertisements that link to third-party websites. Chorki is not responsible for the availability of these external resources or their content. You should review the terms and privacy policies of these third-party applications or websites.

PASSWORDS AND ACCOUNT ACCESS

You are responsible for any activity that occurs through your Chorki account. To maintain control over the account and prevent unauthorized access, you should maintain control over the devices used to access the service and not reveal the password or details of the Payment Method associated with the account to anyone.

Account Security: You are responsible for maintaining the confidentiality of your password and account and for all activities that occur under your account. You agree to notify Chorki immediately of any unauthorized use of your account or any other breach of security.

Multiple Users: You may allow multiple users to access your Chorki account. However, you are responsible for ensuring that all users comply with these Terms of Use. If you allow multiple users to access your account, you agree to be responsible for their actions and any charges they may incur.

PRIVACY AND DATA PROTECTION

DISCLAIMERS OF WARRANTIES AND LIMITATIONS ON LIABILITY

The Chorki service and all content and software associated with it are provided "as is" and "as available" without warranty of any kind. Chorki does not guarantee that your use of the service will be uninterrupted or error-free. To the extent permissible under applicable laws, Chorki and its subsidiaries, directors, officers, employees, and licensors shall not be liable for any damages arising out of or related to your use of the service.

Limitation of Liability: In no event shall Chorki, its subsidiaries, directors, officers, employees, or licensors be liable to you for any indirect, incidental, special, punitive, or consequential damages, or any loss of use, data, or profits, whether or not foreseeable, arising out of or in connection with your use of the Chorki service. The aggregate liability of Chorki for any claim arising out of or related to the use of the service shall not exceed the amount paid by you for the service in the twelve (12) months preceding the event giving rise to the claim.

Indemnification: You agree to indemnify, defend, and hold harmless Chorki, its subsidiaries, directors, officers, employees, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the service, your violation of these Terms of Use, or your violation of any rights of another.

Notice Of Claim: To initiate a claim related to the Chorki service, you must submit a formal Notice of Claim ("Notice") in writing to the Legal Department of MEDIASTAR LIMITED at [Insert Full Address and Contact Email], via certified mail. The Notice must (a) detail the nature and basis of the claim or dispute; and (b) specify the exact relief being sought ("Demand"), along with any other supporting documents. After receiving the Notice, both parties will engage in good faith discussions to resolve the issue within 30 days. If no resolution is reached, either party may pursue further actions under the Dispute Resolution clause, in accordance with the Arbitration Act, 2001 of Bangladesh.

Dispute Resolution: All disputes relating to the terms and conditions of this agreement shall be settled amicably between the two parties within 30 (thirty) days from the date such dispute is raised, and upon failure to resolve the same within 30 days, such dispute shall be referred to arbitration in accordance with the provisions of the Arbitration Act, 2001 of Bangladesh. Each party shall appoint its own Arbitrator and the Arbitrator of the parties so appointed shall appoint the third Arbitrator who shall be the Chairman of the Arbitral Tribunal. The Place of the Arbitration shall be at Dhaka. The decision of the Arbitration Tribunal shall be final and binding on the parties hereto.

Governing Law: These Terms of Use shall be governed by and construed in accordance with the laws of Bangladesh, without regard to principles of conflict of laws. These terms will not limit any consumer protection rights that you may be entitled to under the mandatory laws of your country of residence.

Class Action Waiver: To the extent permitted by applicable law, you and Chorki agree that any claims must be brought individually and not as part of a class or representative action. Neither party may initiate or participate in any class action or representative proceeding. Furthermore, unless otherwise mutually agreed, claims cannot be consolidated with those of other individuals, and the court/arbitrator shall not oversee any form of class or representative action.

MISCELLANEOUS

Changes to Terms of Use: Chorki may, from time to time, change these Terms of Use. Such revisions shall be effective immediately for new users and upon notice for existing users. If you do not agree to the revised Terms, you must stop using the Chorki service. Your continued use of the Chorki service after the changes become effective constitutes your acceptance of the revised Terms.

Severability: If any provision of these Terms of Use is found to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions will not be affected or impaired, and the invalid, illegal, or unenforceable provision will be deemed modified to the extent necessary to make it valid, legal, and enforceable.

Entire Agreement: These Terms of Use, together with our Privacy Policy and any other legal notices published on our Website, constitute the entire agreement between you and Chorki regarding your use of our service. Any prior agreements, understandings, or representations, whether oral or written, relating to the subject matter hereof are superseded and of no effect.

Waiver: No waiver by Chorki of any term or condition outlined in these Terms of Use shall be construed as a continuing or additional waiver of that term or condition, nor shall it imply a waiver of any other term or condition. Additionally, Chorki's failure to enforce any right or provision under these Terms of Use does not constitute a waiver of such right or provision. Each term and condition remain in full force and effect despite any such failure to assert it.

Assignment: You may not assign or transfer these Terms of Use, whether by operation of law or otherwise, without obtaining prior written consent from Chorki. Any attempt to do so without such consent will be invalid. Chorki, however, may assign or transfer these Terms of Use at its discretion and without restriction. Except as provided, these Terms of Use shall be binding upon and benefit the parties, their successors, and permitted assigns.

Notices: Chorki may provide you with notices, including those regarding changes to these Terms of Use, by email, regular mail, or postings on the Chorki service. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.
